Private placements are securities sold to a select group of investors in an effort to raise capital, which may include, pensions, mutual funds, banks, insurance companies and other entities. They are not available to investors in the same way as a public offerings. Private placements are not required to be registered with Securities and Exchange Commission (SEC) due to an exemption from registration referred to Regulation D of the Securities Act of 1933. However, Regulation D requires that investors be “accredited.” To be accredited, individual investors must meet the accreditation requirements, by having more than $200,000.00 in annual income, $300,000.00 in joint income if the investor is married, or more than $1,000,000.00 in assets. According to FINRA, investing in private placements is risky and can tie up your money for a long time. As with many other investments, you can also lose some or all of your money.
FINRA reminds investors to ask yourself if you can absorb a loss or potentially have your money tied up for a long time. Private placement securities are considered "restricted" securities and cannot be resold without registration or an exemption from registration. This can make the product difficult to sell (illiquid) and may negatively impact the price at which you are able to sell them. Remember, the issuer does not have an obligation to provide liquidity to investors by buying the securities back when the investor wants to sell.
