David Cooper Of Joseph Gunnar Barred By FINRA For Refusing To Testify

Financial Industry Regulatory Authority (FINRA) sanctioned securities broker David Spencer Cooper [CRD: 5357930, New York, New York], given the public information found on BrokerCheck. FINRA Sanctioned Cooper For Noncompliance In Investigation

Particularly, on July 27, 2026, FINRA issued Case: 2025088031502 sanctioning David Cooper with a bar from associating with any FINRA member in all capacities. Notably, FINRA alleged that Cooper refused to appear for requested testimony, violating FINRA Rules 8210 and 2010.

The matter arose from FINRA’s examination of Joseph Gunnar’s practices concerning public and private offerings by small-capitalized, exchange-listed issuers with foreign business operations. FINRA requested Cooper’s testimony on June 3, 2026. According to the settlement, Cooper acknowledged receiving the request and stated that he would not appear. Cooper accepted FINRA’s findings without admitting or denying them.

David Cooper Named In SEC Insider Trading Action

Additionally, the United States Securities and Exchange Commission initiated a pending civil action against Cooper on January 15, 2025. Allegedly, Cooper provided traders with material, nonpublic information about the timing or pricing of upcoming follow-on stock offerings. The SEC alleged that the traders used this information to sell shares short before public announcements and later covered their positions at lower prices. Cooper allegedly received substantial compensation when the traders purchased shares in offerings involving his brokerage firm.
