DCM US Multi-Family Homes PLC Note Default and Acceleration

The DCM US Multi-Family Homes PLC Series 2020-DCM1 was a $100 million offering of 9.25% secured medium-term notes with a stated maturity in 2025. Notably, the investment reportedly required a substantial minimum investment. It was also offered to non-U.S. investors.

By early 2024, however, DCM had allegedly failed to make required interest payments.

In a January 29, 2024, written instruction to Trident Trust Company (Guernsey) Limited, alleged representatives of Andbanc Brokerage, LLC, BCI Securities, Inc., and Boreal Capital Securities, LLC formally stated:

"The Issuer has defaulted on the payment of interest due in connection with all of its Notes."

This includes:

  • Series 2020-DCM1: 9.25% secured medium-term notes due 2025
  • Series 2022-DCM3: 8.75% secured medium-term notes due 2026
  • Series 2022-DCM4: floating-rate secured medium-term notes due 2025

The letter further stated that the defaults had continued for more than 14 days and constituted Events of Default under the governing documents. Consequently, the firms directed the trustee to provide notice that the DCM1, DCM3, and DCM4 Notes were immediately due and payable, together with accrued interest, and requested enforcement of the security. The DCM notes may have been sold by Andbanc Brokerage, BCI Securities, and Boreal Capital Securities. As a result, investors may be able to bring claims against these entities for the default. They may also bring claims to recover their investment losses.

Were Investors Properly Informed About the Risks and Collateral?
