FREDRICK MARTIN RANDHAHN Suspended

Soreide Law Group obtained the following information on FINRA’s website from the January 2020 Disciplinary Actions on the following broker: 
FREDRICK MARTIN RANDHAHN (FRED RANDHAHN) CRD#: 1338801  
On November 14, 2019, an AWC was issued in which FREDRICK MARTIN RANDHAHN was assessed a deferred fine of $5,000, suspended from association with any FINRA member in  all capacities for nine months and ordered to pay the deferred disgorgement of commissions he received in the amount of $33,167.67, plus interest. Randhahn’s suspension began November 18, 2019, and ends August 17, 2020.
Without admitting or denying FINRA’s findings, FREDRICK MARTIN RANDHAHN allegedly consented to the sanctions and to the entry of findings that he engaged in private securities transactions involving the sale of promissory notes without seeking prior approval from his member firm.
According to the FINRA report, FREDRICK MARTIN RANDHAHN allegedly solicited investors to purchase promissory notes in the real-estate investment fund, Woodbridge Group of Companies, LLC. According to FINRA, Randhahn allegedly sold $625,000 in Woodbridge promissory notes to five investors, two of whom were also clients of Sigma Financial. According to FINRA, Fred Randhahn also personally invested $125,000 in Woodbridge promissory notes, and received $33,167.67 in commissions in connection with these transactions.
According to the FINRA report, the fund filed a voluntary Chapter 11 bankruptcy petition. The United States District Court for the Southern District of Florida issued final judgments against, among others, the fund and its former owner. Those judgments required the fund and its former owner to, among other things, disgorge their ill-gotten gains and also required the former owner to pay a civil penalty.
FINRA’s findings also stated that FREDRICK MARTIN RANDHAHN  failed to make any disclosure of the fund to the firm in response to two firm questionnaires. On his questionnaires, Randhahn allegedly denied participating in any private securities transactions or selling any non-securities investment products.  FINRA Case #2018059663501
According to FINRA’s BrokerCheck, FREDRICK MARTIN RANDHAHN has three Disclosures on his CRD report.  He has been registered in the securities industry for 32 years and was listed with 7 firms, the most recent listed below:
