FINRA fined and suspended Josiah D. Jennings (CRD: 6031164), a former securities broker in Los Angeles, California. Jennings worked for Columbia Capital Securities Inc. from October 4, 2021, to September 15, 2024, and his FINRA BrokerCheck disclosures describe a regulatory matter involving private securities transactions. Here is how the case unfolded.

FINRA Fined And Suspended Josiah Jennings Over Private Transactions

FINRA sanctioned Jennings on August 11, 2026, in Case 2024083338801, with a $10,000 fine and a 10-month suspension in all capacities. Jennings consented to the settlement without admitting or denying FINRA’s findings. FINRA found that he violated Rules 3280 and 2010 by participating in private securities transactions without first giving Columbia written notice.

Josiah Jennings’s Role In The Private Equity Fund

According to FINRA, Jennings co-founded a private equity fund before joining Columbia, owned an interest in the fund’s general partner, and served as its chief executive officer. Columbia approved that role as an outside business activity but required Jennings to comply with Rule 3280 if he became involved in securities transactions concerning the fund.

FINRA said Columbia allowed Jennings to resign on September 15, 2024, amid the firm’s investigation into his possible participation in securities sales outside Columbia without notice or approval.

The $8 Million Promissory-Note Offering

FINRA alleged that Jennings participated in a promissory-note offering for the fund between April and August 2024. He consulted with a lawyer, helped prepare offering documents, selected prospective investors, attended initial meetings and signed promissory notes for the fund. Specifically, the offering raised at least $8 million from 18 accredited investors, nearly all of whom already had relationships with Columbia through prior fund investments.

FINRA Found Josiah Jennings Failed To Give Columbia Written Notice

The regulator found that Jennings did not notify Columbia in writing before taking part in the offering. FINRA concluded that his conduct violated Rule 3280, which governs private securities transactions outside a brokerage firm, and Rule 2010, which requires brokers to observe high ethical standards in the securities industry. Specifically, Jennings’s suspension began on August 11, 2026, and is scheduled to end on June 10, 2027.
