BrokerCheck gives October 1, 2026, as the filed date and 26-02212 as the docket number. It labels the product a private placement. John McKee and the firm can each respond through the arbitration process.
A private placement is a sale of securities outside a public offering. The issuer doesn't register the deal with the SEC the way a public company does. Instead, it relies on an exemption and usually sells to a limited group of buyers.
Buyers receive an offering memorandum rather than a public prospectus. Resale limits mean a buyer can't count on a quick exit, and no exchange posts a daily price. Commissions can also run higher than on listed stocks.
This is general background on the product type, and it says nothing about the investment on John McKee's report.
Before a firm lets its brokers sell a private offering, someone there is supposed to review it. That usually means a due diligence group, which looks at the issuer, the terms and the fees. A broker then has a separate job, which is deciding whether the deal fits each customer.
When we review a private placement claim, we ask to see what the firm reviewed and what it told its brokers. Those records sit with the firm, not the customer.
BrokerCheck reports the amount a customer claims. That number may include lost principal, interest, fees or other items a claimant chooses to request. It isn't a finding, and no one has tested it at that stage. A figure on John McKee's report means only that the claimant put that amount in the claim.

Pending claims remain open and undecided. A settlement is also not an admission of wrongdoing. FINRA may also update or correct these records after that date.
