Kyle Lindner Of State Farm VP Management Corp. Fined By FINRA For Private Securities Transactions

Investors have reportedly disputed the sales practices of securities broker Kyle Lindner [CRD: 5421697, Katy, Texas], according to disclosures located on Financial Industry Regulatory Authority (FINRA) BrokerCheck. FINRA Sanctioned Lindner For Private Securities Transactions Involving Promissory Notes

Specifically, on February 20, 2026, FINRA issued Case: 2024083942501 sanctioning Kyle Lindner. Specifically, Lindner consented to sanctions including a $5,000 fine and a four-month suspension based on findings that he participated in a private securities transaction involving promissory notes without notifying his employer. According to the disclosure, Lindner violated FINRA Rules 2010 and 3280. Notably, FINRA alleged that Lindner solicited a State Farm VP Management Corp. client to invest in a promissory note connected to a purported real estate development company.

According to the disclosure, the client invested $150,000 through the purchase of the promissory note. FINRA alleged that Lindner helped facilitate the transaction by introducing the client to the opportunity, sharing the client’s information with the company, and helping the client obtain financing for part of the investment.

FINRA further alleged that Lindner did not notify State Farm VP Management Corp. before participating in the transaction or at any later time. The regulator also alleged that Lindner inaccurately certified on annual compliance questionnaires that he had not participated in undisclosed private securities transactions.

Additionally, a client of State Farm VP Management Corp. disputed Kyle Lindner’s sales practices, according to a complaint. Allegedly, Lindner engaged in private securities transactions involving an outside real estate investment recommendation. It appears that Lindner allegedly caused the client to incur damages. As a result, State Farm VP Management Corp. agreed to settle the matter on March 26, 2025, by compensating the client in the amount of $218,000.
