According to FINRA, NIKOLAY ZOTENKO consented to a one-year suspension and to pay a $10,000 fine without admitting or denying FINRA’s findings. Zotenko was previously registered both as a broker and as an investment advisor. Zotenko was previously listed with Morgan Stanley of Beverly Hills, California.
On May 13, 2022, without admitting or denying FINRA's findings, NIKOLAY ZOTENKO (CRD#: 6334022) consented to the sanctions and to the entry of findings that he allegedly sent emails describing an investment opportunity through his firm email account to over 600 prospective clients, without submitting the content of these retail communications approval from his member firm.
FINRA’s findings stated that the alleged communications violated the content standards for member communications with the public because they contained statements that were misleading and unwarranted. Also, according to the FINRA report, the communications allegedly lacked balance and failed to provide a sound basis to evaluate the private placement investment.
FINRA also alleged that after sending the communications without firm approval, NIKOLAY ZOTENKO submitted the content of the communications for approval by the firm. The firm denied approval of the communications and informed Zotenko that the content of the communications contained several issues, including impermissible promissory statements.
According to FINRA, despite the firm's denial, NIKOLAY ZOTENKO allegedly sent the communications using the firm's internal system to approximately 550 additional prospective clients. The communications also indicated that Zotenko's colleague was the sender. Zotenko obtained his colleague's permission to send the emails using his name, but the colleague was not aware Zotenko allegedly entered false information into the firm's system or that the firm had previously denied approval of the proposed content of the communications.
According to FINRA’s BrokerCheck, NIKOLAY ZOTENKO, was in the securities industry for 5 years and has 2 disclosures on his FINRA CRD report. One of the disclosures is the “Regulatory,” and the other is an Employment Separation After Allegations,” dated April 26, 2021, discharging Zotenko from Morgan Stanley Smith Barney, LLC, following allegations of, “Concerns that the representative sent email to many client prospects with content about an investment opportunity, after he had sought approval for the content of the email and not received it, and took steps to avoid further review of the email by the Firm.”
