Titan Securities: summary of the public FINRA record, from Soreide Law Group

What Did FINRA Find Titan Securities Did With Escrow Funds?

FINRA found that Titan Securities willfully violated Sections 10(b) and 15(c) of the Securities Exchange Act of 1934. The findings also rest on Rules 10b-9 and 15c2-4 under that act. According to the report, the firm released funds from an offering's escrow account before it raised the minimum offering amount. The SEC sustained those findings of violations and FINRA's sanction determination related to the escrow offering.

Which Findings Did The SEC Set Aside?

The SEC set aside FINRA's finding that Titan Securities violated federal securities laws by failing to preserve approximately 100 business-related emails. It also set aside the findings of violations and sanctions related to the firm's and its CEO's supervision of a registered representative's outside business activities, which the report calls OBAs. The report ties the sanction that remains to the escrow findings.

How Does An Offering Escrow Work?

In a contingency offering, the issuer sets a minimum amount it must raise by a stated date. Investor money goes into an escrow account with a bank or other agent until the minimum comes in. If the offering falls short, the escrow agent returns the money. The federal rules in the Titan Securities findings exist to keep an issuer from spending investor funds before the offering reaches its minimum. When we review an offering case like this, we start with the escrow agreement and the dates money moved, because the agreement and the bank records usually tell the story.

What Sanction Did Titan Securities Receive?

The SEC decision fined Titan Securities $50,000, jointly and severally with its chief executive officer. The decision became final on August 7, 2026, and FINRA lists the matter as Case #2013035345701.
