FINRA’s investigation originated from the filing made by Merrill Lynch, namely that Delahunt's employment was terminated due to alleged improper behavior related to soliciting clients for an external investment and engaging in financial arrangements with clients.
Investigation Into Delahunt
FINRA (Financial Industry Regulatory Authority) staff initiated an investigation to determine whether Delahunt engaged in private securities transactions with clients without getting prior approval from Merrill Lynch. They also looked into whether Delahunt had accepted loans or other funds from clients without proper authorization from the firm.
On September 18, 2020, FINRA sent a request to Delahunt, asking him to provide information and documents as per FINRA Rule 8210. During a telephone conference with FINRA staff on December 10, 2020, and as acknowledged in this agreement, Delahunt confirmed that he had received FINRA's request but would not comply with the request to produce the requested information and documents. By refusing to provide the information and documents as requested under FINRA Rule 8210, Delahunt violated both FINRA Rules 8210 and 2010.
