FINRA Sanctioned Spano For Outside Business Activity Violations
Specifically, on October 21, 2025, FINRA issued Case 2023080632301, sanctioning Brandon Spano with a three-month suspension and a $5,000 fine. FINRA alleged that Spano engaged in an undisclosed outside business activity and made inaccurate compliance statements to his firm.
According to the regulator, the matter began while Spano was associated with Equitable Advisors between March 2020 and May 2023. During this time, FINRA stated that Spano entered into a real estate investment arrangement with one of the firm’s clients. The client provided $110,000, and Spano contributed $340,000. Those funds were used to buy a property that Spano intended to renovate and eventually resell. FINRA alleged that Spano managed the renovation work himself. He supposedly hired contractors as needed, expecting to share in any profits from a future sale. Because this real estate project fell outside his employment responsibilities, FINRA determined that he was required to notify his firm in writing but did not do so.
FINRA also found that Spano submitted annual compliance questionnaires in December 2020, July 2021, and October 2022, each time attesting that he had disclosed all outside business activities. The regulator stated that these attestations were inaccurate and that his nondisclosure and false certifications violated FINRA Rules 3270 and 2010. These findings led to the suspension and monetary penalty.
